Acceptance of these Terms

These Terms of Use ("Terms") form a legally binding agreement between you and CarCoverCompass ("CarCoverCompass," "we," "us" or "our") governing your access to and use of carcovercompass.com and all related pages, forms, content and services (collectively, the "Site" or "Services").

By accessing or using the Site, or by submitting any information through it, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site.

Eligibility

You must be at least 18 years old and a resident of the United States to use the Services. By using the Site, you represent and warrant that you meet these requirements, that you have the legal capacity to enter into these Terms, and that the information you submit is about you or someone you are authorized to act for.

Description of the Services

CarCoverCompass is a free online referral and comparison service. We collect information you choose to provide and may share it with insurance carriers, agents, brokers and other marketing partners (collectively, "Providers") that may be able to offer you insurance quotes or products.

You acknowledge and agree that:

• CarCoverCompass is not an insurance company, insurance agent, insurance broker or insurance producer, and does not sell, solicit, negotiate or bind insurance.
• We do not provide insurance quotes, determine eligibility, set rates or make underwriting, coverage or claims decisions. Those decisions are made solely by the Providers.
• We do not guarantee that you will be matched with, contacted by, or receive a quote from any Provider, or that any quote will be lower than your current rate.
• Not all Providers, products, coverages or discounts are available in all states or to all consumers.
• The Services are free to consumers. We may receive compensation from Providers and partners, which may affect which Providers are presented to you.

No professional advice

All content on the Site, including articles, coverage descriptions, savings tips and FAQs, is provided for general informational purposes only. It does not constitute insurance, legal, financial or tax advice, and it should not be relied on as a substitute for advice from a licensed professional. Insurance requirements, coverage definitions and rating rules vary by state and by Provider. Always review the terms, conditions and exclusions of any policy before purchasing it.

Your information and submissions

You agree that all information you submit through the Site is true, accurate, current and complete, and that you will not submit information about any other person without their authorization. You may not use a false identity, impersonate any person or submit information on behalf of another person for the purpose of receiving marketing communications.

By submitting your information, you authorize us to share it with Providers and service providers as described in our Privacy Policy, and you authorize Providers to use it to verify your identity and information, including by obtaining your motor vehicle record, claims history and, where permitted by law, credit-based insurance score, in order to prepare quotes.

Consent to communications

If you provide your telephone number and agree to the consent language displayed on our form, you consent to receive calls and text messages from CarCoverCompass and its marketing partners as described in our Consent to Contact disclosure, which is incorporated into these Terms. Your consent is not required as a condition of any purchase. You also agree to receive emails and other electronic communications from us, and you agree that all agreements, notices and disclosures we provide electronically satisfy any legal requirement that they be in writing.

You represent that you are the subscriber or customary user of the telephone number you provide. If your number changes, you agree to notify us promptly.

Acceptable use

You agree not to:

• Use the Site for any unlawful, fraudulent or deceptive purpose, or in violation of these Terms;
• Submit false, misleading or fictitious information, or information belonging to another person without their consent;
• Use bots, scrapers, crawlers or other automated means to access, submit data to or copy content from the Site;
• Interfere with or disrupt the Site, its servers or networks, or attempt to gain unauthorized access to any part of the Site;
• Introduce viruses, malware or other harmful code;
• Reverse engineer, decompile or disassemble any part of the Site, except as permitted by law; or
• Use the Site to send unsolicited communications or to harass, abuse or harm any person.

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms.

Intellectual property

The Site and all of its content, including text, graphics, logos, icons, illustrations, software and the selection and arrangement thereof, are owned by or licensed to CarCoverCompass and are protected by United States and international copyright, trademark and other intellectual property laws. "CarCoverCompass" and our logo are our trademarks. Other names and marks that appear on the Site belong to their respective owners.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use, subject to these Terms. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display or exploit any content from the Site without our prior written permission.

Third-party websites and Providers

The Site may contain links to, or result in contact from, third parties, including Providers. We do not control and are not responsible for the content, products, services, policies or practices of any third party. Any transaction or relationship you enter into with a Provider is solely between you and that Provider. You should review the terms and privacy policies of any third party before doing business with them.

Disclaimer of warranties

The Site and Services are provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by law, CarCoverCompass disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free, that any information on the Site is accurate, complete or current, or that you will obtain any particular result, quote, rate or savings from using the Services.

Limitation of liability

To the fullest extent permitted by law, in no event will CarCoverCompass or its owners, officers, employees, agents, partners or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data, use or goodwill, arising out of or related to your use of or inability to use the Site or Services, any content on the Site, or any products or services provided by any Provider, whether based on warranty, contract, tort (including negligence) or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or related to these Terms or the Services will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless CarCoverCompass and its owners, officers, employees, agents and partners from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or related to (a) your use of the Site, (b) any information you submit, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.

Dispute resolution

Informal resolution

Before filing any claim, you agree to first contact us at [email protected] with a written description of your dispute and to try in good faith to resolve it informally for at least 30 days.

Binding individual arbitration

If we cannot resolve a dispute informally, you and CarCoverCompass agree that any dispute, claim or controversy arising out of or relating to these Terms, the Site, the Services or any communications you receive from us (including claims under the Telephone Consumer Protection Act), will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitrator, and not any court, will have exclusive authority to resolve any dispute about the interpretation, applicability or enforceability of this agreement to arbitrate. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property rights.

Class action waiver

You and CarCoverCompass agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

Opt-out

You may opt out of this arbitration agreement by sending written notice to CarCoverCompass, 1609 S Cameo Way, Sioux Falls, SD 57105, or to [email protected], within 30 days after you first use the Site. Your notice must include your name, address, phone number and a clear statement that you wish to opt out of arbitration.

Governing law and venue

These Terms are governed by the laws of the State of South Dakota, without regard to its conflict of laws principles, except that the arbitration provision is governed by the Federal Arbitration Act. To the extent any dispute is permitted to proceed in court, you agree to the exclusive jurisdiction of the state and federal courts located in Minnehaha County, South Dakota.

Changes to these Terms

We may modify these Terms at any time by posting the revised Terms on the Site and updating the "Last updated" date. Changes take effect when posted, unless otherwise stated. Your continued use of the Site after the changes are posted constitutes your acceptance of the revised Terms. Changes will not apply retroactively to disputes of which we had actual notice before the change.

General

• Entire agreement: These Terms, together with our Privacy Policy and any other policies referenced here, are the entire agreement between you and us regarding the Site.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
• Force majeure: We are not liable for any delay or failure caused by events beyond our reasonable control.
